A private school’s bylaws are a foundational governance document and should be routinely and systematically updated for compliance with applicable laws and best practices.  Bylaws will ideally include provisions on topics such as the powers held by the Board of Trustees; how trustees and officers are selected for their roles and removed therefrom; how Board meetings are called and conducted; steps required for the Board to act on matters brought before it; committee mandates; the Head of School’s role on the Board; how trustees can protect themselves from potential liability in connection with their service; and lessons learned from the COVID-19 climate.
